Your new role
The Head of UK Legal Affairs is responsible to implement the Hitachi Rail integrated strategy for the legal activities related to the Hitachi Rail Limited legal entity (i.e. insurances, contracts, litigations) in alignment with the Hitachi Rail Global strategy guidelines and legal governance. This role is in charge of overseeing the UK business from a legal perspective.
Accountabilities will include but are not limited to:
  • Provision of legal advice to guarantee the compliance with applicable laws and regulations for Hitachi Rail Limited, providing support to the business on all legal aspects including contractual,  commercial and corporate legal matters, litigation, insurances and regulatory compliance
  • Ensure, in alignment with the Rail Systems Business Unit legal governance and global processes, the supervision and the advice on legal approach relating to business transactions for Hitachi Rail Limited, also supporting the analysis of legal/commercial risk in relation to bidding and commercial negotiations and the identification of approaches for their mitigation and management
  • Provision of appropriate legal support for the management of all documentation related to Hitachi Rail Limited’s customer contracts, direct and indirect supply chain contracts, rail regulatory regime agreements (e.g. those relating to depot access and assets protection), building leases and other property arrangements, bonding and other financial instruments, NDAs, joint venture agreements, shareholder agreements, participation in/administration of Hitachi section of the Railway Pensions Scheme
  • Provision of appropriate legal support in relation to Human Resources matters for UK (contentious employee matters,  transfer of employees under TUPE, pensions matters,)
  • Ensure the proper management of claims and litigation of Hitachi Rail Limited
  • Proper management of the relationships with statutory regulators e.g. ORR, Office of the Information Commissioner, RAIB etc.
  • Contribute to  the definition and ensure the implementation and supervision of the Delegation of Authorities system across the relevant entities belonging to Hitachi Rail Limited alignment with legal governance
  • Alignment of the Hitachi Rail Limited legal governance with the Rail Systems Business Unit legal governance, as well as with Hitachi Ltd legal directives  
  • Provision of appropriate legal support for the management of all SPV, joint venture and/or consortium  relevant for Hitachi Rail Limited
  • Undertaking of company secretarial requirements in relation to Hitachi Rail Limited, including quarterly and ad hoc board meetings, statutory filings and compliance with the Companies Act 2006 and in alignment with legal governance
  • Alignment of Hitachi Rail Limited legal and compliance framework(s) and guidelines with all relevant laws, regulations as well as Rail Systems Business Units corporate and legal governance and with Compliance directives
  • Implement compliance directives and guidelines provided by Rail Systems Business Unit Compliance unit, through appointed responsible persons, (i.e. Privacy, Export & Trade Compliance, Anti-Corruption, Compliance & Ethics)
  • Undertake and co-ordinate the investigations into whistleblowing matters relevant to Hitachi Rail Limited, in alignment with Hitachi Ltd Whistleblowing Policies and with Compliance Directives
  • Appropriate arrangement of the insurance programme of Hitachi Rail Limited (Public Liability, Employers Liability, Property damage, cyber insurance, directors and offices insurance; professional indemnity cover, business interruption cover) and the management of the broker relationship
  • Ensure the proper management of the relationships with external legal advisers of Hitachi Rail Limited
  • Support the Rail Systems Business Unit Compliance Unit on Privacy GDPR compliance matters in compliance with local regulations and Hitachi Rail Compliance programme
  • Support the relevant Hitachi Rail units in relation to Health & Safety requirements for Hitachi Rail Limited
  • Support the relevant Rail Systems Business units for the appropriate legal protection of Hitachi Rail Limited Intellectual Property Rights
About you
Skills & Knowledge:
  • Deep knowledge of UK law principles and practice; capability to discuss, negotiate and follow up legal issues with internal and external parties / lawyers
  • Good Knowledge of main contract schemes (e.g.: EPC contracts, LTMA, Alliance agreements, join ventures agreements, ISDA agreements,) and capability to deal with the main activities related to a contract negotiation and associated issues
  • Good knowledge of main finance transactions (e.g.: bank contracts, parent companies guarantees, bond agreements), basic topics related to both finance and economics flows and processes and main balance sheet items knowledge
  • Good knowledge and experience on corporate governance processes and regulations and capabilities to deal with corporate documentation
  • Excellent verbal and written communications skills, negotiation and presentation skills
  • Ability to work and communicate in a diverse, international and global organisational environment
  • Ability to prioritize and manage multiple tasks and multiple referents simultaneously
  • Strong problem solving and critical thinking: ability to analyse information objectively and draw reasonable conclusions from a set of information to solve a problem or make a decision
  • Strong business and financial acumen


  • Bachelor’s Degree in Law or equivalent legal background
  • Deep experience in legal roles
