POSITION SUMMARY


Provide a full range of executive, legal, administrative and project support to the Legal Department, which mandates focused interaction with both internal and external executive management, thereby allowing in-house attorneys to focus on executive and complex legal issues. Provide legal support to the company and its subsidiaries, especially in commercial contracts, corporate matters and records, data privacy, compliance issues, special projects, as needed, and day-to-day support of in-house attorneys.

 

PRIMARY RESPONSIBILITIES


Under the guidance of the General Counsel, provide transactional support, including reviewing and drafting correspondence, commercial agreements, administrative documents for attorney review. (50%)

  • Provide day-to-day support of Legal Department attorneys by organizing, prioritizing and preparing for action by Legal Department attorneys new communications (updates/emails/mail/phone) with existing projects.  This includes responding to the business, development reports, researching open issues and analyzing action needed. (30%).
  • Provide corporate transactional and corporate governance support for the company's and its subsidiaries' Corporate Secretary, including preparing, maintaining and filing corporate records; drafting Board meeting notices and minutes; drafting resolutions; and reporting such matters to the parent company. (7%)
  • Support the company's and its subsidiaries' ethics and compliance programs by supporting the Compliance Officer, including responding to routine requests and drafting reports. (5%)
  • Complete corporate reporting to Delaware and 25+ foreign states through annual reports, abandoned property filings, etc. (3%)
  • Other related activities as required, including backing up the Executive Assistant, as needed. (5%)

     


 

Qualifications

 

EDUCATION, LICENSES, AND/OR CERTIFICATION REQUIREMENTS

  • Bachelor's degree or an associate’s degree in paralegal studies or equivalent.

EXPERIENCE AND TRAVEL REQUIREMENTS

  • 5+ years of experience in a law form or an in-house legal department working on corporate governance, commercial contracts or other corporate matters.
  • Understanding of and experience working in a related industry or a Japanese company is preferred but not required.
  • Minimal domestic travel may be required (in the future).

 

SKILLS AND ABILITIES REQUIREMENTS


Proficiency using Microsoft Office software, including Word, Excel, PowerPoint and Outlook.  Knowledge of Microsoft SharePoint is a plus but not required.

  • Typing speed of 45+ wpm with accuracy
  • Superior language and proofreading skills, with the ability to consistently produce error-free communications and documents.
  • Highly organized, self-motivated, focused and positive problem-solving attitude and skills, with the ability to prioritize effectively and manage time well.
  • Excellent interpersonal communication skills, and the ability to work collaboratively with a variety of personalities and individuals.
  • Discretion, good judgement, exemplary telephone and video etiquette, and the ability to maintain confidential information.
  • Willingness and flexibility to work outside of core business hours as needed.
