Job Scope & Responsibilities
This role is to provide expert legal counsel and advice to Hitachi Vantara ANZ business including but not limited to the following:
  • Drafting and negotiation of commercial contracts (such as sale/purchase and support agreements, "as a Service" agreements, equipment leases, software licenses, consulting and other professional services agreements, loan agreements), strategic alliance agreements (including reseller and distribution agreements) and outsourcing agreements and advising on intellectual property protection, revenue recognition issues in contracts, as well as cyber security and data privacy risk management.

• Liaising with legal administrator and business to facilitate compliance with contract approval and execution processes.
  • Providing support to Hitachi Vantara's global contract template drafting program and localisation efforts.
  • Preventing and monitoring legal risk (including in relation to litigation, compliance and reputational matters).
  • Advising business and corporate on any matters having legal implications.
  • Providing legal support to Human Resources on relevant employment matters, contract templates and initiatives, including the review of company policies.
  • Working closely with the compliance staff in the APAC region and senior management within the compliance team to facilitate compliance related initiatives and to deal with compliance issues within ANZ.
  • Taking role of company secretary for the ANZ legal entities.
  • Supporting merger and acquisition or any legal entity/organization change impacting the ANZ legal entities and/or business.
  • Handling dispute resolution matters, including engaging and working with outside counsel when needed.

• Remaining up to date on emerging legal trends and changes within the region.

Profile
• LLB required. Related studies in commerce/business are desirable.

• 8-12 years post admission legal experience;

• A strong understanding of IT contracting is essential. Exposure to consulting and other types of professional services agreements is ideal.

• Experience in advising on ANZ data privacy laws is highly desirable.

• Direct knowledge of local markets in ANZ, especially the federal government market.

• High level of interpersonal and communication (oral and written) skills.

• Ability to provide professional advice timely in a commercial context.

• Ability to analyze processes and think strategically.
